Terms and Conditions

These Terms and Conditions (“Terms”) govern your access to and use of Monarchy HQ (also called Monarchy OS) and related private previews, sites, apps, and tools operated by Monarchy Media LLC (“Monarchy”, “we”, “us”, or “our”). By checking the acceptance box on the sign-in screen, signing in, or otherwise using the platform, you agree to these Terms, our Privacy Policy, and our Confidentiality terms.

1. Who may use the platform

Access is invitation-only and personal to you. You may sign in only with credentials issued or authorised by Monarchy. You must not share, sell, transfer, or lend your login, nor allow anyone else to view rooms, packets, or data granted to you. If your relationship with Monarchy ends, or your access is revoked, your right to use the platform ends immediately.

2. Acceptance

Acceptance happens on the sign-in screen (index.html / the accept flow). You must confirm you are an authorised person and accept these Terms, the Privacy Policy, and Confidentiality before entering. We may record that acceptance in browser storage (for this private preview) and, when available, on our servers. Continued use after we post material updates counts as acceptance of the updated Terms.

3. What the platform covers

There is one sign-in for the whole platform. No area has its own separate password. Each person sees only the areas Monarchy grants to them, through role presets and individual grants set in Admin. Anything not granted is closed. Areas may include, without limitation:

• Board (Boardroom) — board and partner updates, per company (for example Monarchy, Quantum Dental, Wanted Fertility). You see only companies you are granted.
• Clients — client rooms (for example Total Dental Arts) with overview, communication logs, data, SEO reports, and related materials. Client users see only material Monarchy marks as visible to them.
• Investment opportunities — Pipeline, Team Notes, Data Room, Investor Ask, and NDAs. Each sub-area is granted separately.
• Mark — review of pages, images, ads, posts, videos, and documents; corrections, approvals, and project sharing (viewer, approver, or editor).
• Ask — the assistant. Answers and citations are limited to areas and materials you are granted.
• Monarchy House — internal videos (monthly recap, good news from Monarchy) and company-wide news and information, including Monarchy board updates that are marked for all staff. Publishing requires a separate grant.
• Manuals & Procedures — internal manuals and policies for staff. Publishing and staff-only Ask citations require separate grants. Client and external users do not receive staff manuals unless expressly granted.
• Profile and Admin — profile settings; Admin covers people, access grants, email log routing, top news, House publishing, manuals, and Investment opportunities administration. Full Admin is limited to Owners and Executives; scoped Investment opportunities admins may see only that Admin section for projects they administer.

We may add, rename, split, or retire areas. These Terms still apply to any access we grant you.

4. Roles and grants

Access is controlled by role presets and extras, including (as configured from time to time): Owner, Executive, Staff, Client, External/Custom, and Investment opportunities role tags (for example Investor, Banker, Admin, Client). Effective access = your preset plus any extras assigned by an authorised admin. Fail closed: if something is not granted, you have no right to it. Attempting to reach ungranted rooms, packets, APIs, or files is prohibited.

5. Communications and marketing

By accepting these Terms and using the platform, you acknowledge that Monarchy may send you operational messages related to your account and access (for example invitations, access changes, security notices, and product updates). You also acknowledge that Monarchy may send marketing and business communications about Monarchy services, events, content, and related offerings to the email or other contact details associated with your account or invitation, unless you opt out as described in the Privacy Policy. Operational and security messages are not marketing and may continue even if you opt out of marketing.

6. Acceptable use

• Use the platform only for authorised Monarchy, client, partner, or investor work consistent with your grant.
• Do not attempt to access rooms, data, accounts, APIs, or packets you were not granted.
• Do not scrape, reverse engineer, overload, or disrupt the service.
• Do not upload unlawful, infringing, malicious, or deceptive content.
• Do not misrepresent your role, company affiliation, or authority.
• Do not use Ask, Mark, Board, Investment opportunities, client rooms, or manuals to create or publish content that violates law, client contracts, or these Terms.

7. No medical, clinical, or investment advice

Monarchy provides an operating workspace and related tools. Content in Board packets, client rooms, Investment opportunities, Mark, Ask, House, manuals, or elsewhere is not medical advice, clinical guidance, diagnosis, treatment, or a substitute for professional healthcare judgment. It is also not investment, legal, tax, or accounting advice, and not an offer to sell or a solicitation to buy securities. Do not rely on platform content as clinical or financial advice. Partners such as fertility or dental businesses remain responsible for their own clinical and regulatory compliance. Monarchy makes no medical claims.

8. Client and partner data

Client rooms, board packets, Investment opportunities materials, and related data may contain confidential client, partner, and investor information. You must keep that information confidential as set out in the Confidentiality terms and any separate NDA or agreement. Client users see only what Monarchy marks as visible to them. Staff and other roles must not share client data across client rooms or outside authorised channels.

9. Your content and feedback

You retain ownership of content you lawfully submit (for example Mark corrections, Ask queries, notes, and uploads), subject to licenses needed for Monarchy to operate the platform. You grant Monarchy a worldwide, non-exclusive license to host, process, display, and use that content to provide and improve the service for authorised users. Feedback about the platform may be used by Monarchy without obligation to you.

10. Intellectual property

Monarchy and its licensors own the platform, branding, software, design, and Monarchy-authored content, except for third-party materials clearly attributed to partners or clients. No license is granted beyond personal, authorised use under your grant. You may not copy, frame, mirror, or redistribute the platform or its contents except as expressly allowed for your work inside granted rooms.

11. Preview nature; cookies and local storage

Private draft previews are not the sole system of record for patient, partner, investor, or financial production data unless Monarchy expressly says otherwise in writing. The preview may use cookies and browser localStorage (for example acceptance flags, username/persona, grants cache, theme, and feature drafts) as described in the Privacy Policy. Clearing site data may require you to accept the Terms again and sign in again.

12. Third-party services

The platform may link to or embed third-party services (for example hosting, video, document links, email, or design tools). Those services have their own terms. Monarchy is not responsible for third-party sites or outages outside our reasonable control.

13. No warranties

The platform is provided “as is” and “as available.” To the fullest extent permitted by law, Monarchy disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the platform will be uninterrupted, error-free, or free of harmful components.

14. Limitation of liability

To the fullest extent permitted by law, Monarchy Media LLC and its members, officers, employees, and agents are not liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, data, goodwill, or business interruption, arising from your use of or inability to use the platform, even if advised of the possibility. Our aggregate liability for claims relating to the platform will not exceed one hundred U.S. dollars (US$100) or the amount you paid us for platform access in the twelve months before the claim, whichever is greater. Some jurisdictions do not allow certain limitations; in those cases our liability is limited to the maximum permitted by law.

15. Indemnity

You will defend and indemnify Monarchy against claims, losses, and expenses (including reasonable attorneys’ fees) arising from your misuse of the platform, your violation of these Terms, or your unauthorised disclosure of confidential or client data, except to the extent caused by Monarchy’s willful misconduct.

16. Suspension and termination

We may update these Terms, suspend rooms, change grants, or revoke access at any time. You may stop using the platform at any time. Sections that by nature should survive (including confidentiality, IP, liability limits, indemnity, and governing law) survive termination.

17. Governing law

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law rules. Exclusive venue for disputes lies in the state or federal courts located in Pinellas County, Florida, unless applicable law requires otherwise. You consent to personal jurisdiction there.
